2. Service Description
Conspirazy.ai is a creative platform where AI amplifies human potential. We provide tools for connection, creativity, learning, and personal growth through AI companion experiences.
What We Provide:
- AI companion experiences for connection, creativity, and personal growth
- Professional-quality multimedia content generation including text, images, audio, and video
- Custom LoRA model training for consistent character and style generation
- Infrastructure for storing and managing user-generated content
- Subscription-based and credit-based access to AI generation services
Platform Status: Conspirazy.ai operates as a platform service that connects users to third-party AI service providers. We do not create, generate, or produce content ourselves. All content is user-generated through third-party AI services. We provide the interface, infrastructure, and safety systems - users direct the creative process.
Third-Party Services: Content generation is performed by third-party AI service providers. We do not operate the underlying AI models but provide a platform interface for accessing these services.
3. Eligibility
You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age.
This age requirement exists because the platform involves complex creative tools, financial transactions, and content that requires adult judgment and maturity to use responsibly.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Content Rights, Ownership, and Legal Responsibilities
4.1 Terminology
Throughout these Terms, we use the following terminology to describe content:
- "Input" = Content you upload or provide to the Service (images, text, documents, LoRA models, training data)
- "Output" = AI-generated content produced by the Service (images, text, audio, video, conversations)
- "Prompts" = Instructions, queries, or commands you provide to AI systems
- "Assets" = All Input, Output, and Prompts collectively
4.2 Understanding Your Responsibilities
We want to be transparent about responsibilities when using AI generation services. The legal landscape is complex, but the core principle is straightforward: you're responsible for what you create and how you use it.
You are responsible for all Assets created through your account.
This responsibility includes:
- All content you upload as Input (images, documents, training data)
- All AI-generated Output produced through your account
- All Prompts and instructions you provide to AI systems
- Verifying you have necessary rights, permissions, and licenses for all materials you use
- Obtaining express written consent from any identifiable persons depicted in content
- Ensuring compliance with applicable laws (copyright, privacy, right of publicity, defamation)
- Legal consequences arising from your Assets, including lawsuits, damages, and penalties
What the Platform does not do:
- Verify copyright status or ownership of your Assets
- Validate consent or permissions from depicted persons
- Confirm you own rights to source materials
- Authenticate your identity for self-depiction claims
- Pre-approve Assets before generation (except automated safety filters)
- Assume legal responsibility for your Assets
- Provide legal defense in proceedings arising from your Assets
By using this Service, you accept full legal and financial responsibility for all Assets created through your account. We provide tools for creativity; you're responsible for using them lawfully and ethically.
4.3 Copyright Law Basics - What You Need to Know
Understanding copyright law is critical when using AI generation services. Here are the fundamental principles:
AI-Generated Content is Generally Public Domain:
- Text prompts are not copyrightable under U.S. law (they are instructions/recipes)
- Content generated solely by AI without substantial human creative input is not copyrightable
- AI systems cannot be "authors" under current copyright law
- Pure AI Output is considered public domain and can be used by anyone

What You DO Own:
- Your Source Materials: You retain copyright in any original content you upload (your photos, artwork, documents)
- Your Creative Contributions: Substantial creative modifications or arrangements you make may be copyrightable
- Derivative Works: If you create derivative works based on your copyrighted materials, you may have limited protection
- Compilations: Creative selection and arrangement of materials may be protectable
Legal Basis: 17 U.S.C. § 101 (definitions of "derivative work" and "compilation"); 17 U.S.C. § 103 (protection for compilations and derivative works extends only to new material contributed)
Important Limitations:
- Even if you have some copyright protection, the underlying AI-generated elements remain public domain
- Others can independently create similar content using AI
- You cannot prevent others from generating similar outputs
- Copyright protection for AI-assisted works is determined case-by-case based on human creative control

Real People - Strict Requirements
PROHIBITED: You may not generate content depicting real, identifiable persons without their express written consent.
This prohibition includes:
- Celebrities, public figures, politicians
- Social media influencers or content creators
- Friends, family, acquaintances, coworkers
- Strangers or any identifiable person
- Creating LoRA models trained on photos of real people
Single exception: You may create content depicting yourself using your own photos.
Legal violations: Creating content of real people without consent violates:
- Right of publicity laws (varies by state)
- Copyright law (if training on copyrighted photos)
- 50+ state deepfake statutes
- Privacy and defamation laws
Legal Basis: State right of publicity laws (e.g., Cal. Civ. Code § 3344.1, Tennessee ELVIS Act, N.Y. Civ. Rights Law §§ 50-51); 17 U.S.C. § 106 (copyright infringement); State deepfake statutes (e.g., Cal. Elec. Code § 20010, Tex. Elec. Code § 255.004, Minn. Stat. § 609.771)
Consequences: Violations result in immediate account termination without refund and potential legal liability.
Fictional Characters - Copyright Ownership
Video game characters, CGI characters, anime characters, and other fictional characters are copyrighted intellectual property owned by studios, publishers, and creators.
What You CAN Do:
- Generate AI-generated images of copyrighted fictional characters for personal enjoyment (as long as those images are not of a real person)
- Create fan art using AI tools
- Share in fan communities (understanding you have no copyright)
- Use for inspiration in creating your own original characters
What You CANNOT Do:
- Claim copyright ownership over images featuring copyrighted characters
- Sell, license, or commercially exploit such images
- Use in commercial products or services
- Misrepresent that you created or own the character
Commercial Use Risk: If you commercially exploit AI-generated images of copyrighted characters (selling prints, merchandise, using in ads), copyright holders may send cease and desist letters, file DMCA takedowns, or sue for infringement. You bear all legal and financial risk.
Legal Basis: 17 U.S.C. § 106(2) (exclusive right to create derivative works); DC Comics v. Towle, 802 F.3d 1012 (9th Cir. 2015) (characters independently copyrightable)
Examples of Copyrighted Characters: Lara Croft, Mario, Master Chief, Cloud Strife, Pikachu, Spider-Man, Batman, Goku, Naruto, Elsa, Iron Man, Link, Sonic, any character from video games, movies, TV shows, anime, manga, or comics.
LoRA Model Training
LoRA (Low-Rank Adaptation) models can be trained on image datasets to generate content with specific styles or characteristics.
Legal Status of LoRA Files: The copyright status of LoRA model files is legally uncertain. However, you have protectable interests:
- Training Data Copyright: You retain copyright in images used for training
- Derivative Work Rights: Output from LoRAs trained on your copyrighted images may be derivative works
- Trade Secret Protection: Private LoRA models may be trade secrets
Legal Basis: 17 U.S.C. § 101 (derivative work definition); 17 U.S.C. § 103(a) (copyright in derivative works)
Training Requirements:
- You may train on your own photos or artwork
- You may train on images of yourself
- You may train on public domain images
- You may NOT train on photos of other people without written consent
- You may NOT train on copyrighted images without permission
Using AI Output to Generate More AI Output
Using AI-generated images as Input to create new Output does not create copyright protection. The content remains public domain.
- AI image → Edit with AI → Still public domain
- AI image → Use as reference → New output still public domain
- AI image → Train LoRA → Output still public domain
There is no "copyright stacking" or "derivative copyright" when using AI Output as Input.
4.5 Public vs Private Content - This Changes Everything
Where you share your Assets dramatically affects your legal protections and risks.
PRIVATE (Kept on Platform Only):
- Content stays in your account
- You control access
- Lower legal exposure
- Limited discovery by copyright holders
PUBLIC (Posted to Social Media, Websites, Forums):
- Content effectively becomes public domain
- Anyone can copy, modify, and use your Assets
- You lose most legal protections
- Copyright holders will find copyrighted character images
- Higher risk of DMCA takedowns and lawsuits
- Cannot claim copyright on pure AI Output
Once shared publicly, you cannot control how others use your AI-generated content.
COMMERCIAL USE (Selling, Licensing, Products):
- Maximum legal risk
- Copyright holders actively police commercial use
- Studios and publishers will find unauthorized use
- Commercial exploitation can result in legal action
- Platform cannot protect you from third-party liability
- Legal fees and damages can be substantial
Do not commercially exploit AI-generated images of copyrighted characters or real people without explicit permission from rights holders.
External Platform Responsibility:
When posting AI-generated content to external platforms (social media, forums, websites), you are solely responsible for:
- Ensuring compliance with that platform's terms of service and copyright policies
- Accurately representing the nature of AI-generated content as required by the platform and applicable laws
- Compliance with platform-specific disclosure requirements for AI-generated or synthetic media
- Any consequences resulting from violations of third-party platform policies
We are not responsible for your compliance with external platform requirements or the consequences of posting content to third-party services.
4.6 Platform Liability Shield
Conspirazy.ai operates as a platform service provider, similar to cloud storage services (Google Drive, OneDrive, Dropbox). We provide infrastructure, not content creation or legal verification.
What We Provide: Infrastructure for storing Assets, routing to third-party AI providers, user interface, payment processing, automated safety systems.
What We Do NOT Provide: Copyright verification, consent authentication, content pre-approval (except automated filters), legal defense for your use of the platform, or AI model training (except critical infrastructure).
Your Representations: By using the Service, you represent and warrant that you own necessary rights, have obtained required consents, comply with applicable laws, and will indemnify Conspirazy.ai from any claims arising from your Assets.
DMCA Safe Harbor: We qualify for safe harbor protection under 17 U.S.C. § 512. We respond to valid DMCA notices and terminate repeat infringers. You remain primarily responsible for ensuring Assets don't infringe third-party rights.

4.7 Content Gateway
All content requests pass through our Content Gateway before reaching third-party service providers. This system analyzes and filters content to ensure compliance with our policies, service provider policies, and payment processor requirements.
How the Content Gateway Works:
- Analysis: Your input is analyzed using embedding technology to understand content and intent
- Filtering: Requests that would violate policies are blocked before reaching service providers
- Education: When content is blocked, we explain why and provide guidance for compliance
- Protection: The system protects you from inadvertently violating third-party terms that could affect your account
Our Goals: The Content Gateway is designed to educate, prevent, and protect. We want to help you create freely within appropriate boundaries, not catch you making mistakes. When we block content, we provide clear explanations so you understand what happened and how to proceed.
Intent Matters: Just because the Content Gateway blocks a request does not mean you've violated our Terms. We distinguish between:
- Honest Mistakes: Accidentally triggering filters through normal creative work - no penalty
- Learning Moments: Not understanding what's prohibited - we provide guidance
- Malicious Intent: Systematic attempts to bypass filters or generate prohibited content - enforcement action
The Content Gateway logs provide context for enforcement decisions. Repeated blocks for the same prohibited content type, especially after warnings, may indicate intent rather than accident.
4.8 Enforcement - Account Termination Policies
We enforce these Terms to protect our community, comply with legal obligations, and maintain relationships with service providers and payment processors. Our enforcement approach balances safety with creative freedom.
Good Faith Enforcement: We reserve discretion in enforcement decisions and consider context, intent, user history, and severity when determining appropriate responses to violations. We aim to balance user freedom with community safety. Most violations result from misunderstanding rather than malice, and we provide guidance to help users comply with our policies.
Content Gateway vs. Published Content: Content blocked by our Content Gateway before generation is treated differently than content that bypasses our systems and is publicly shared. If prohibited content somehow bypasses our Content Gateway and you choose to share it publicly, we must take that content seriously as part of our enforcement decisions. Public distribution of prohibited content demonstrates intent beyond accidental filter triggers.

- Creating, uploading, or generating CSAM (child sexual abuse material)
- Creating deepfakes or content depicting real persons without written consent
- Training LoRA models on real people without permission
- Intentionally creating prohibited content (Section 5.1)
- Systematic attempts to circumvent safety systems
Consequences: Immediate permanent account termination, forfeiture of all credits, potential law enforcement referral.
⚠️ THREE-STRIKE PROGRESSIVE ENFORCEMENT:
- Receiving valid DMCA takedown notices (3 strikes = permanent ban)
- Repeated copyright violations after warnings
- Continued Terms of Service violations after notice
Strike 1: Warning issued + content removed + guidance provided
Strike 2: 30-day account suspension + opportunity to review policies
Strike 3: Permanent account termination + no refunds for purchased credits

- Generating copyrighted fictional characters for personal, non-commercial use
- Creating fan art using AI tools for personal enjoyment
- First-time unintentional violations corrected upon notification
- Single DMCA takedown notice (if you comply and cease the activity)
- Good faith mistakes made while learning platform policies
We support creative exploration. Most violations result from misunderstanding rather than malice. We provide guidance to help you comply.
4.9 Evolving Legal Landscape
AI copyright law is rapidly evolving. Current guidance (as of January 2025): AI systems cannot be "authors," pure AI Output is not copyrightable, text prompts are not copyrightable, and only substantial human creative contributions may receive copyright protection.
These Terms do not constitute legal advice. Consult an intellectual property attorney before: (1) relying on copyright protection for AI-generated works, (2) commercially distributing AI-generated content, (3) training LoRAs on others' images, or (4) making significant business decisions based on AI-generated content ownership.
Copyright law, right of publicity law, and AI-specific legislation vary by jurisdiction and are subject to change through legislation and court decisions.
5. Acceptable Use Policy
5.1 Prohibited Content
You may not use the Service to create, upload, generate, or distribute content that:
- CSAM: Depicts, sexualizes, or exploits minors in any way (immediate permanent ban)
- Non-Consensual Deepfakes: Depicts real, identifiable persons without their express written consent (immediate permanent ban)
- Illegal Content: Violates federal, state, or local laws (instructions for illegal activities, drug manufacturing, weapons, explosives)
- Explicit Sexual Content: Content designed primarily for sexual gratification, including pornographic imagery, graphic sexual content, or content that would be classified as obscene under applicable law. Romantic companionship features focus on emotional connection and relationship simulation, not explicit sexual content
- Imminent Harm: Credibly threatens violence or self-harm
- Terrorism: Promotes, supports, or facilitates terrorist activities or organizations
- Hate Speech: Promotes hatred, violence, or discrimination based on protected characteristics
- Harassment: Targets individuals for abuse, bullying, or intimidation
- Malware: Contains viruses, trojans, or other malicious code
5.2 Prohibited Activities
You may not:
- Use the Service for illegal purposes or to violate any laws
- Attempt to circumvent safety systems, content filters, or security measures
- Reverse engineer, decompile, or extract source code from the Service
- Use unauthorized bots, scrapers, or automated tools
- Resell or redistribute the Service without authorization
- Share account credentials or allow unauthorized account access
- Create multiple accounts to evade bans or restrictions
- Impersonate others or misrepresent your identity or affiliation
5.3 Our Approach to Sensitive Content
We recognize that meaningful conversations and creative work sometimes involve difficult topics. Our content policies distinguish between intent to heal and intent to harm.
What We Allow - Processing and Growth:
- Discussing past trauma, difficult memories, or painful experiences
- Working through complex emotions with AI companions
- Exploring difficult themes in fiction and creative storytelling
- Creating morally complex characters and narratives
- Asking questions without judgment - even "dumb questions" (that's how we learn)
- Getting honest feedback from assistants and mentors
- Having real conversations without constant interruption
What We Prohibit - Causing Harm:
- Content that sexualizes minors in any way
- Content depicting real people without consent
- Content promoting illegal activity, real-world violence, or self-harm
- Content designed to harass, abuse, or endanger others
- Content that would be harmful regardless of context
The Distinction: The difference is intent and direction. Processing pain moves forward toward healing. Causing harm moves backward. We understand this distinction and apply it in our moderation.
Crisis Detection: If our systems detect you may be experiencing a crisis, we will pause the interaction and direct you to professional crisis resources. We do not provide crisis support ourselves - we detect concerning patterns and connect you with qualified help. See Section 11.2 for crisis resources. Users experiencing crisis situations should always contact professional crisis services.
Publicly Shared Content: All content you choose to share publicly must comply with our Prohibited Content and Activities policies (Sections 5.1 and 5.2), regardless of whether a third-party service provider might allow more permissive content. Public content represents both you and our platform - we hold it to our standards, not the most permissive provider's standards.
5.4 Platform Safety Systems
We maintain independent content safety systems that operate regardless of third-party provider capabilities. These systems protect our users, our platform, our payment processor relationships (e.g., Stripe), and our service provider relationships.
Our Safety Systems:
- Filter content before it reaches third-party providers (Content Gateway)
- Monitor for prohibited content patterns
- Pause during detected crisis situations and direct users to professional crisis resources
- Enforce our content policies consistently across all providers
- Protect against attempts to generate harmful content
We Do Not Provide Crisis Support: Conspirazy.ai is not a crisis intervention service. When our systems detect potential crisis situations, we pause the interaction and provide information about professional resources. We expect users to recognize that crisis situations require professional support from qualified crisis services, mental health professionals, or emergency services - not AI companions. See Section 11.2 for resources.
Why We Maintain Our Own Standards: Our safety systems may be more restrictive than what some third-party providers allow. This is intentional. We cannot rely solely on third-party guardrails because:
- Different providers have different policies and capabilities
- We have legal and ethical obligations to our users
- Our service provider and payment processor relationships require consistent standards
- We believe responsible platform design protects everyone
You may not attempt to circumvent these safety systems. Systematic attempts to bypass content filters or safety measures will result in account termination. This includes prompt engineering designed to evade filters, using coded language to request prohibited content, or any other method of circumvention.
5.5 Rate Limiting and Account Restrictions
We may implement rate limits, throttling, or temporary restrictions on your account for:
- Security purposes and abuse prevention
- Infrastructure protection and capacity management
- Compliance with third-party provider requirements
- Investigation of Terms of Service violations
- Suspected fraudulent activity or payment disputes
Rate limiting does not constitute a breach of contract or service guarantee violation. We are not liable for any consequences resulting from rate limiting or temporary account restrictions implemented for security or compliance purposes.
6. DMCA Compliance
We comply with the Digital Millennium Copyright Act, 17 U.S.C. § 512. If you believe content on our platform infringes your copyright, submit a DMCA notice to:

Repeat Infringer Policy: We terminate accounts that receive three (3) valid DMCA takedown notices. This is required under 17 U.S.C. § 512(i) to maintain our safe harbor protection. Accounts terminated for DMCA violations receive no refunds.
Counter-Notices: If you believe content was removed in error, you may file a DMCA counter-notice. This is a serious legal step that may result in litigation. Consult an attorney before filing a counter-notice.
False Claims: 17 U.S.C. § 512(f) imposes liability for knowingly making false DMCA claims. Misrepresentations in DMCA notices or counter-notices may result in legal liability.
7. Payment Processor Compliance
All payments are processed by Stripe, Inc. By using the Service, you agree to comply with Stripe's Services Agreement and Prohibited and Restricted Businesses policy.
Violations of Stripe's terms may result in immediate account termination without refund. We have no control over Stripe's policies or enforcement decisions.
7.1 Chargeback Policy
Fraudulent chargebacks or payment disputes filed in bad faith may result in immediate account termination without refund. We work with Stripe to investigate all disputes fairly and will provide documentation to support legitimate charges.
Chargeback Consequences:
- Repeated payment failures or invalid payment methods may result in service suspension
- Chargebacks filed after consuming credits or services will be contested
- Accounts terminated for fraudulent chargebacks are permanently banned
- We reserve the right to pursue legal action for fraudulent payment disputes
Fraud Prevention and Reporting:
For accounts that engaged in fraudulent chargebacks or violated our Terms of Service, payment processor terms, or service provider terms resulting in chargebacks, we may share relevant violation information with Stripe and, where appropriate, the issuing bank. This information may include:
- Nature of Terms of Service violation
- Account termination reason
- Transaction details related to the dispute
- Evidence of services rendered or credits consumed
This fraud reporting is standard merchant practice and helps protect the payment ecosystem, other merchants, and legitimate users. Information shared is limited to what is necessary for fraud prevention and dispute resolution purposes.
If you have a billing concern, contact support@conspirazy.ai before filing a chargeback. We're committed to resolving legitimate billing issues fairly.
8. Third-Party AI Providers
Content generation is performed by third-party AI service providers. Your Prompts and Input are transmitted to these providers to generate Output.
Provider Lifecycle: As AI technology continues to rapidly evolve, service providers are regularly deprecated, retired, onboarded, and tested. We continuously evaluate providers to ensure quality, reliability, and compliance with our standards. The specific providers available may change over time as we optimize the service.
Separate Terms Agreement Required: When selecting a service provider within the app, you will be required to agree to that provider's own separate terms of use, terms of service, or terms and conditions. These are agreements between you and the third-party provider. We facilitate the connection but are not a party to those agreements.
Your Obligations: You must comply with third-party providers' terms of service and acceptable use policies. We are not responsible for third-party provider terms, policies, or actions. The service providers available are listed within the app based on the services you request.
Provider Changes: We may change, update, or replace AI models, providers, or generation parameters at any time without prior notice. Model changes may affect output quality, style, speed, or capabilities. We make no guarantees about consistency across different models or versions.
Provider Issues: We are not liable for third-party provider outages, errors, quality issues, or policy changes.
9. Subscription and Payments
9.1 Subscription Plans
Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You authorize us to charge your payment method for renewal.
Cancellation: Cancel your subscription anytime through account settings or by contacting support@conspirazy.ai. Cancellation takes effect at the end of your current billing period.
Plan Changes: You may upgrade or downgrade your subscription plan at any time. Changes take effect immediately, with prorated adjustments to your billing.
9.2 Credits System
Credits: Credits are used to pay for AI generation requests. Each generation consumes credits based on the model, quality settings, and other parameters.
Credit Properties:
- Credits roll over from month to month
- Credits never expire
- Credits have no cash redemption value
- Credits cannot be transferred between accounts
- Unused credits remain in your account after cancellation (for 30 days)
9.3 Credit Types
We offer several types of credits with different refund policies:
- Purchased Credits: Credits you buy directly as one-time purchases or credit packs
- Subscription Credits: Credits deposited into your account as part of your subscription plan
- Promotional Credits: Free credits from promotions, campaigns, or special offers
- Loyalty Credits: Rewards for continued membership or referrals
9.4 Refund Policy
Subscription Refunds:
Subscription refunds are based on unused Subscription Credits remaining in your account, not on time elapsed in the billing cycle.
- If you cancel mid-cycle, you may request a refund for any unused Subscription Credits deposited during that billing period
- Refund amount is calculated based on the per-credit value of unused Subscription Credits
- Example: If your subscription deposited 500 credits and you have 200 unused credits remaining, you may receive a refund for those 200 credits
- Free trial credits are not eligible for refund
- Refund requests must be made within 30 days of the billing date
Purchased Credit Refunds:
- Refundable within 30 days of purchase if credits remain completely unused
- If you've consumed any Purchased Credits, the remaining credits are not refundable
- To request a refund, contact support@conspirazy.ai with your account details
Promotional, Loyalty, and Incentive Credits:
- Non-refundable (these credits were provided at no cost)
- Forfeited upon account termination
NO REFUNDS FOR:
- Credits already consumed through AI generations
- Account terminations due to Terms of Service violations
- Bans resulting from DMCA strikes or policy violations
- Service changes, feature modifications, or provider changes
- Subjective quality concerns ("The AI quality wasn't what I expected")
- User error, changed preferences, or buyer's remorse after using credits
- Intentional violations resulting in permanent ban
Refund Process: To request a refund, you can visit your subscription or credit pack ledger inside the app or email support@conspirazy.ai within 30 days with your account email, purchase details, and reason for request. We'll verify eligibility and process refunds within 10 business days.
10. Termination
10.1 Termination by You
You may cancel your account at any time through account settings or by emailing support@conspirazy.ai. Upon cancellation:
- Your account is deactivated immediately
- You lose access to the Service
- Unused Subscription Credits may be refunded within 30 days (Section 9.4)
- Account data is retained for 30 days, then permanently deleted
10.2 Termination by Us
We may immediately terminate your account for:
- Terms of Service violations (Section 4, 5)
- Prohibited content creation or distribution (Section 5.1)
- Receiving three (3) valid DMCA takedown notices (Section 6)
- Fraud, payment disputes, or chargebacks
- Repeated payment failures
- Violation of third-party provider terms
10.3 Effects of Termination
For Serious Violations (CSAM, non-consensual deepfakes, intentional prohibited content):
- Immediate permanent termination
- No refunds for any credits (Purchased, Subscription, Promotional, or Loyalty)
- Potential law enforcement referral
- All legal liability remains with you
- Appeals must be submitted through legal counsel to legal@conspirazy.ai to ensure proper documentation and fair process
For Other Violations (DMCA strikes, repeated ToS violations):
- Immediate account termination
- Unused Purchased Credits may be refunded within 30 days if account was in good standing before violation
- Subscription Credits and Promotional/Loyalty Credits are forfeited
- You may appeal directly to support@conspirazy.ai with a detailed explanation
For Voluntary Cancellation:
- Refunds processed according to Section 9.4
- Account data deleted after 30-day grace period
11. Disclaimers and Liability Limitations
11.1 No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
WE DO NOT WARRANT THAT:
- The Service will be uninterrupted, secure, or error-free
- AI-generated content will meet your expectations or requirements
- Content will be accurate, complete, or reliable
- Defects will be corrected
- The Service is free from viruses or harmful components
11.2 Entertainment and Educational Purposes Only
The Service provides AI companions for entertainment and educational purposes only. AI companions may serve as creative partners, learning aids, conversational practice, or personal entertainment - but they are not substitutes for professional services.
Important Limitations:
- AI companions are not substitutes for licensed healthcare professionals
- Do not rely on AI-generated content for medical decisions or mental health treatment
- The Service is not designed to detect, diagnose, or treat any medical or psychological condition
- AI-generated responses may contain errors, inaccuracies, or inappropriate suggestions
Always seek professional guidance when appropriate, including but not limited to medical advice, mental health support, legal counsel, financial planning, or any situation requiring licensed professional expertise. In any emergency situation, contact emergency services immediately.

11.3 AI Content Limitations
AI-generated content may contain errors, inaccuracies, hallucinations, biases, or inappropriate material despite our safety systems. You are responsible for:
- Reviewing all Output before use or distribution
- Verifying accuracy of AI-generated information
- Not relying on AI-generated content for critical decisions
- Understanding that AI systems can produce plausible but incorrect information
- Recognizing that AI responses are probabilistic and not deterministic
11.4 Service Availability
We may suspend or interrupt the Service for:
- Scheduled maintenance and updates
- Emergency repairs or security issues
- Third-party provider outages or failures
- Infrastructure upgrades or changes
- Force majeure events beyond our reasonable control
We are not liable for any interruptions, delays, or failures in service availability. We will make reasonable efforts to provide advance notice of scheduled maintenance when feasible.
11.5 Beta Features
New features may be released in beta or experimental form. Beta features:
- May not function as expected or may contain bugs
- May change, become unavailable, or be discontinued without notice
- Are provided without warranties of any kind
- May have limited or no support
We make no guarantees about beta feature availability, performance, or eventual release as stable features.
11.6 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSPIRAZY.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM:
- Your use or inability to use the Service
- AI-generated content or quality of Output
- Third-party AI provider actions, outages, or errors
- Unauthorized access to your account or content
- Claims by third parties arising from your Assets
- Copyright infringement claims related to your use
- Reliance on AI-generated advice, recommendations, or information
- Service interruptions, maintenance, or unavailability
TOTAL LIABILITY: OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR $100, WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless Conspirazy.ai, its officers, directors, employees, agents, affiliates, service providers, and payment processors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your Assets (Input, Output, Prompts)
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Copyright, trademark, or intellectual property infringement related to your Assets
- Right of publicity or privacy violations
- Use of LoRA models trained on others' images
- Third-party claims arising from your use of the Service
- Your posting of content to external platforms
13. Privacy
Our collection, use, and protection of your personal information is governed by our Privacy Policy, available at privacy-policy.html. By using the Service, you consent to our data practices as described in the Privacy Policy.
Third-Party Data Sharing: Your Prompts and Input are transmitted to third-party AI providers to generate content. Review third-party provider privacy policies for information about their data practices from within the app service directory.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be announced with 30 days' advance notice through in-app notifications and email to your registered address.
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you disagree with changes, discontinue use and terminate your account before the effective date.
The "Effective Date" at the top of these Terms indicates the current version.
15. Dispute Resolution and Arbitration
THIS SECTION AFFECTS YOUR LEGAL RIGHTS. PLEASE READ CAREFULLY.
15.1 Informal Resolution
Before initiating arbitration or litigation, you agree to contact us at legal@conspirazy.ai to attempt informal resolution. We commit to working with you in good faith for 30 days to resolve disputes.
15.2 Binding Arbitration
If informal resolution fails, any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Arbitration Terms:
- Location: Boise, Idaho
- Rules: AAA Commercial Arbitration Rules
- Arbitrator Selection: Parties jointly select from AAA's roster
- Decision: Final and binding on both parties
- Judicial Review: Limited to grounds specified in Federal Arbitration Act
15.3 Exceptions to Arbitration
Either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent irreparable harm.
15.4 Class Action Waiver
YOU AND CONSPIRAZY.AI AGREE TO WAIVE ANY RIGHT TO RESOLVE DISPUTES ON A CLASS-WIDE BASIS. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. CLASS ARBITRATIONS, CLASS ACTIONS, AND REPRESENTATIVE ACTIONS ARE PROHIBITED.
15.5 Costs and Fees
Each party bears its own attorneys' fees and costs except as required by law. For claims of $10,000 or less, we will pay all AAA filing, administration, and arbitrator fees unless the arbitrator determines your claim was frivolous.
15.6 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to legal@conspirazy.ai within 30 days of creating your account. Your notice must include:
- Your full name
- Mailing address
- Username or account email
- Clear statement: "I opt out of the arbitration agreement"
If you opt out, disputes will be resolved in court as described in Section 16.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict of law principles.
If you opted out of arbitration: Any legal action must be brought in state or federal courts located in Ada County, Idaho. You consent to personal jurisdiction and venue in these courts.
17. General Provisions
Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Conspirazy.ai regarding the Service.
Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment: We may assign these Terms to any successor or affiliate. You may not assign your rights or obligations without our prior written consent.
Force Majeure: We are not liable for delays or failures in performance resulting from causes beyond our reasonable control (natural disasters, acts of war, government actions, internet outages, third-party provider failures).
Notices: We may provide notices via email to your registered address, in-app notifications, or by posting on our website. Notices to us should be sent to legal@conspirazy.ai.
Export Controls: You agree to comply with all U.S. export and re-export restrictions. You may not use the Service if you're located in a country subject to U.S. embargo or on any U.S. government list of prohibited parties.
